Article I: Membership

  1. Application for membership must be sponsored by a member. A unanimous approval of the Executive Board is required for membership. New memberships are thereafter effective upon payment of dues for the calendar year, or the remaining portion thereof, as determined by the Executive Board.
  2. Classes of membership are defined as follows:
    1. Competing: a member entitled to all rights and privileges of the Club.
    2. Non-Competing: a member entitled to all rights and privileges of the Club who chooses not to compete in any of the Club competitions.
    3. Honorary/Lifetime: a person elected to that status by unanimous vote of the Executive Board or awarded to a member for outstanding service to the Club by unanimous vote of the ExecutiveBoard. These members are entitled to all the rights and privileges of the Club without further payment of dues.

Article II: Dues

  1. The annual dues for the various classes of memberships shall be as follows
    • Active: $45.00
    • Non-competing: $20.00
    • Honorary/Lifetime: Nil

    The annual dues may be adjusted by the Executive Board or a vote of the membership from time to time.

  2. When a new membership begins after the start of the calendar year, dues shall be pro-rated for each half year as follows or as determined by the Executive Board from time to time:
    • January through June: 100%
    • July through December: 50%
  3. Dues are payable on January 1 and become delinquent on March 31 of each year. Members whose dues are three months in arrears shall be notified in writing, shall not be allowed to compete or vote, and may be dropped from the membership register. Upon reinstatement, members shall be liable for all past unpaid dues.

Article III: Duties of Officers

  1. The President shall:
    1. preside at all meetings of the Club, and act as chair at all meetings of the board,
    2. fill all vacant positions as they occur,
    3. appoint Chairmen of all committees and delegates to organizations of with the Club is a member,
    4. in the event the ex-officio director is unavailable or unable to perform the duties of the office, the President shall appoint a member as Director, Pro Tem in his/her place,
    5. in the event the Vice President is unavailable or unable to act as Advisory member of the Nominating Committee, the President shall appoint a member to act in that limited capacity,
    6. serve as an ex-officio member of all committees, except the Nominating Committee,
    7. cause an annual review or, if deemed necessary, an audit, to be performed on the books, accounts, and financial records of the Photochrome Club.
  2. The Vice President shall:
    1. assist the President in his/her duties and assume the duties in his/her absence,
    2. be an Advisory Member of the Nominating Committee entitled to all rights and privileges of that committee with the exception of voting.
  3. The Treasurer shall:
    1. deposit all the Club’s cash, checks, and other funds in federally insured banking institutions in the city of San Francisco, including checking, savings, and trust accounts,
    2. update, maintain and verify bank signature cards,
    3. have all checks signed by two of the four officers,
    4. be responsible for the collection of dues and for the deposit of the same, together with any other funds, into the Club’s bank account(s),
    5. prepare and publish a quarterly Balance Sheet, and monthly Profit and Loss Statement, unless the Board directs otherwise,
    6. prepare, publish, and present beginning and year-end financial statements consisting of Balance Sheets, Profit and Loss Statements, and a Budget, in accordance with generally accepted accounting principles for the current calendar/fiscal year beginning January 1 and ending December 31,
    7. direct all bank statements, bills, and invoices to be mailed to the Club’s current P.O. Box address.
  4. The Secretary shall:
    1. record accurate all meetings of the Board of Directors and Special Meetings as they occur,
    2. prepare typed copies of Minutes of all meetings for all Directors and Officers,
    3. keep and maintain on behalf of the Club a permanent file of the Minutes, correspondence and all other written information pertinent to the Club,
    4. maintain an up-to-date list of Directors, Officers, and Members, including their current address and phone number along with all information regarding their PSA affiliations, if any, as well as any honors held in PSA and N4C,
    5. issue copies of the Constitution, Standing Rules, and Contest Rules promptly to all new members,
    6. advise new members in writing of their competition class in all divisions, as determined by the Board.

Article IV: Meetings

  1. Regular meetings of the Club shall be held on the first three Thursdays of the month, except during December.
  2. Special meetings may be held at the call of the President or as provided for in the Constitution.
  3. A Joint Board meeting, consisting of the incumbent Board and the incoming Board, shall be held in December at which time the incoming Executive Board shall assume office.
  4. The annual Dinner Meeting will be held in December on a date specified by the Executive Board. At this meeting the incoming Executive Board shall be formally installed.
  5. The Board of Directors shall hold regular monthly meetings.

Article V: Committees

  1. Members of committees must not act in a manner that would cause an actual or apparent conflict of interest.
  2. A member of the Nominating Committee who decides to run for elective office must either resign from the committee before doing so or place his/her name into nomination from the floor at the annual business meeting.
  3. Committee members serve at the will and pleasure of the President and may be removed or replaced upon receipt of written notice.

Article VI: Amendment Procedures

  1. These Standing Rules may be amended or suspended in accordance with Article XI of the Constitution.
