Article I: Name
The name of this organization shall be the Photochrome Club of San Francisco, hereinafter referred to as “the Club.”
Article II: Purpose
The purpose of the club shall be:
- to encourage and maintain interest in photography,
- to hold and conduct meetings for educational purposes; and
- to further the cause of the art of photography in general.
Article III: Members
There shall be three classes of membership:
- Competing
- Non-Competing
- Honorary/Lifetime
Article IV: Officers and Directors
- The Officers of the Club shall be a President, a Vice President, a Secretary, and a Treasurer.
- There shall also be seven Directors, one of whom shall be the immediate Past President.
- The Executive Board shall consist of the four Officers and seven Directors.
- The Executive Board shall meet a minimum of nine times during the year.
- The duties of the Officers and Directors shall be as provided in the Standing Rules.
Article V: Vacancies
- In the event the Board of Directors declares the office of the President vacant, the Vice President shall assume the office for the unexpired term. If for any reason the Vice President is unable to take over the office, the Secretary shall assume the Presidency for the unexpired term, and shall appoint a Secretary in his/her place.
- If any office or directorship, except that of the President, shall become vacant, it shall be filled by appointment by the president for the remainder of the term.
Article VI: Nominations and Elections
- At least two months in advance of the Annual General Meeting, the President shall appoint a Nominating Committee of five members, the immediate Past President serving as Chairman. Nominations shall be published in the Club bulletin at least one month prior to the annual General Meeting.
- After the presentation of the Nominating Committee report at the Annual General Meeting, the President shall accept nominations from the floor. Vote will be by ballot if there is more than one candidate for any office.
- Officers shall be elected for a term of one calendar year.
- Three Directors shall be elected each year for a term of two calendar years.
Article VII: Meetings
- The Annual General Meeting of the Club shall be held in November, on the day of the Color Competition, for the purpose of electing officers and directors, receiving reports of officers and committees, and for any other business that may arise.
- The regular meetings of the Club shall be held on the days ordered by the Executive Board.
- Special meetings may be called by the President or by the Executive Board and shall be called upon the written request of six members of the Club.
- Fifteen members of the Club shall constitute a quorum at meetings, and six members at meetings of the Executive Board.
Article VIII: Committees
- The President may appoint the following committees:
- Program
- Judges
- Competitions
- Membership and Publicity
- Bulletin
- Refreshments
- International Exhibitions
- Field Trips
- Equipment
- N4C Delegate(s)
- Such other committees as may be appointed by the President.
Article IX: Dues
The Executive Board shall be empowered to set and revise the amount of dues payable, provided such revision does not exceed twenty-five percent of current established levels. Increases higher than twenty-five percent may be approved at any regular meeting of the Club by a majority vote of the members present provided that the proposed increase has been submitted in writing to members one month prior to the meeting. In no case shall the dues be increased more than one time in any one calendar year.
Article X: Amendment to Constitution
This Constitution may be amended at any regular meeting of the Club by a two-thirds vote of the members present, provided that the proposed amendment has been submitted in writing to members one month before.
Article XI: Amendment to Standing Rules
The Executive Board shall declare and publish a set of Standing Rules. Such Standing Rules can be added to, deleted or amended by a two-thirds vote of the Executive Board.
Article XII: Contest Rules
The Executive Board shall declare and publish a set of Contest Rules. Such Contest Rules can be added to, deleted or amended by a two-thirds vote of the Executive Board.
